Special Meeting of the Board
Oct. 23rd, 2007
Attendance: Scott, Susie, Vince, Brian, Jack, Bruce, Gina.
Absent: Kelly
Meeting called to order: 6:10
Jack made a motion to remove Kelly from the position of president. Susie seconded. Motion passed unanimously. (Article 8, Section 5). There was discussion of who is willing to replace Kelly. Brian feels he’s too new; Scott declines. Brian is willing to take over the treasurer’s position, so Susie is able to take the president’s position. Per by-law requirements the official election of officers will happen at the Nov. 12th meeting. Gina to ask Kelly for the files she has at home.
Next meeting of Homeowners: Date chosen: Nov 29th at 7pm.
Quorum for next meeting will be 105. Next mailing to go out Friday, Oct. 26th to meet the 30-60 day notice required. Joe to post signs. This mailing to include:
• Agenda
• minutes of Oct. 8, and 18th, and this meeting
• Official notice of new meeting date (Nov. 29th) Include reference to the by-laws Article 4: Section 6 regarding special meeting. In bolds “If we don’t have a quorum, this will be revisited next year.”
• Letter explaining that current proxies are valid until Dec 31, 2007. Explain that a proxy is not an absentee ballot. (Gina and Susie to work out specific wording.)
New Business:
Gina asked to add “Board Terms” to Nov. agenda in order to establish new re-election dates because there are no accurate records kept of who replaced whom.
There was discussion about the coming year.
• Susie mentioned that we should work on consolidating our by-laws and covenants.
• It was agreed that we should work on getting a definitive legal answer to the ever puzzling questions about our contract with the school district.
• Board should have a list of projects each year at the annual meeting so that the board can not be accused of “sneaking through” large expenditures. This to be added to Bugle.
There was discussion about the agenda for the Nov. 29th meeting.
There was discussion about switching our regular board meeting night. We will switch it to the second Tuesday of each month starting Dec. 11th at 6:30. Notice of this change to be announced in the November Bugle.
